Terms of Service

These Terms of Service constitute a legally binding agreement between you (the merchant) and MMJPay. By submitting an application or using our services, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing or using MMJPay's services — including submitting a merchant application, using the merchant portal, or processing transactions — you agree to be bound by these Terms of Service, our Privacy Policy, and any additional agreements entered into during the application process.

2. Description of Services

MMJPay provides payment processing solutions for cannabis-related businesses operating in compliance with applicable state and local laws, including credit/debit card processing, POS terminal provisioning, online payment gateway integration, merchant portal access, and dedicated account management.

3. Merchant Eligibility

Merchant must hold and maintain all required state and local cannabis licenses in good standing, pass MMJPay's underwriting review including KYC/KYB verification, and promptly notify MMJPay of any changes to ownership, licensing status, or business address.

4. Fees & Pricing

Merchant agrees to pay all fees outlined in the Merchant Processing Agreement signed during onboarding. MMJPay may update fees with thirty (30) days written notice. All fees are non-refundable except as required by law.

5. Prohibited Activities

  • Sales of cannabis outside of licensed, state-authorized transactions
  • Processing transactions for unlicensed operations
  • Structuring transactions to avoid reporting thresholds (illegal under BSA)
  • Sales to persons under the minimum legal age in the applicable state
  • Cross-border cannabis transactions between states
  • Any activity that violates applicable state cannabis laws or regulations

6. Chargebacks & Disputes

Merchant is responsible for all chargebacks. Merchant agrees to maintain adequate records, respond to disputes within specified timeframes, and maintain chargeback ratios below card network thresholds (generally 1%). MMJPay may establish a reserve account to cover potential chargebacks.

7. Termination

Either party may terminate with thirty (30) days written notice. MMJPay may terminate immediately for license loss, violations, excessive chargebacks, or direction from banking partners or regulators. Final settlement may be held up to 180 days following termination.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MMJPAY'S TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY MERCHANT IN THE THREE (3) MONTHS PRECEDING THE CLAIM. MMJPAY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

9. Regulatory Compliance

Merchant agrees to cooperate with MMJPay's compliance program, consent to transaction monitoring, and promptly notify MMJPay of any regulatory actions or law enforcement inquiries affecting your business.

10. Governing Law

These Terms are governed by applicable state law. Disputes shall be resolved by binding arbitration except where either party seeks injunctive relief. Questions: [email protected]
